These Terms & Conditions ("Terms") govern your access to and use of the Teleopedia omnichannel messaging platform, including WhatsApp Business API, RCS, Bulk SMS, Email, SMPP and Voice/OBD calling (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Using The Service

You must provide accurate account information and keep your login credentials and API keys secure. You are responsible for all activity that occurs under your account, including through any SMPP binds, API keys or integrations you set up.

2. Acceptable Use

You agree not to use the Service to send content that is unlawful, unsolicited, fraudulent or in violation of TRAI/DLT regulations, WhatsApp's commerce and business policies, or applicable spam and anti-fraud laws. We may suspend or terminate access for messages that:

  • Are sent without proper consent or opt-in from recipients.
  • Use unregistered or misleading DLT templates or sender IDs.
  • Contain malware, phishing links or promote illegal activity.
  • Violate WhatsApp, carrier, or email service provider policies.

3. DLT & Regulatory Compliance

For SMS and Voice campaigns sent within India, you are responsible for completing and maintaining valid DLT entity and template registrations for your business, and for ensuring your campaigns comply with TRAI regulations. We provide guidance and support but the compliance obligation for message content and consent remains with you.

4. Fees & Payment

Use of the Service is billed according to the plan or credit package you select. Fees are charged in advance or on usage, as applicable, and are non-refundable except as required by law or expressly stated at the time of purchase. We may change our pricing with prior notice.

5. Intellectual Property

The Service, including its software, dashboard, branding and documentation, is owned by Teleopedia and protected by intellectual property laws. You retain ownership of your own content, templates and contact data uploaded to the Service.

6. Service Availability

We aim to keep the Service available and performant but do not guarantee uninterrupted access. Delivery of WhatsApp, RCS, SMS, Email and Voice messages also depends on third-party carriers, gateways and platforms outside our control.

7. Limitation Of Liability

To the maximum extent permitted by law, Teleopedia is not liable for indirect, incidental or consequential damages arising from your use of the Service, including delivery delays or failures caused by third-party networks, carriers or messaging platforms.

8. Suspension & Termination

We may suspend or terminate your account for violation of these Terms, non-payment, or misuse of any channel. You may stop using the Service and close your account at any time by contacting support.

9. Changes To These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the competent courts.
